These Terms & Conditions (“Terms”) govern all purchases, business transactions, and use of products offered by Dri-Rod Company (“Company,” “we,” “us,” or “our”). By placing an order, creating an account, or interacting with our website, you (“Customer,” “Buyer,” or “Client”) agree to these Terms. For wholesale and B2B clients, these Terms apply to all purchase orders and ongoing supply arrangements unless a separate written agreement is in place.
1. Products & Usage
1.1. Dri-Rod products are designed for moisture control in enclosed environments. 1.2. The Customer is responsible for ensuring product suitability for their specific application. 1.3. Product specifications and availability may change without prior notice.
2. Orders & Acceptance
2.1. All orders are subject to acceptance by the Company. 2.2. We reserve the right to refuse or cancel orders at our discretion, including due to product availability, pricing errors, or account concerns. 2.3. For B2B and wholesale buyers, purchase orders are binding once confirmed in writing.
3. Pricing & Payment
3.1. All prices are listed in USD unless otherwise stated. 3.2. Applicable taxes, duties, or fees are the responsibility of the Customer. 3.3. Payment terms for wholesale customers may vary and must be agreed upon in writing. 3.4. Late payments may result in order delays or account holds.
4. Shipping & Delivery
4.1. Shipping timelines are estimates and not guaranteed. 4.2. Risk of loss transfers to the Customer once the product is delivered to the carrier. 4.3. The Customer is responsible for inspecting goods upon delivery and reporting issues within 5 business days.
5. Returns, Exchanges & Refunds
5.1. Returns may be accepted for unused, unopened items within 30 days of delivery. 5.2. Custom or bulk orders may be non-returnable unless defective. 5.3. Refunds are processed once returned items are inspected and approved. 5.4. Return shipping costs are the responsibility of the Customer unless the return is due to a product defect or Company error.
6. Warranty
6.1. Dri-Rod products include a limited manufacturer warranty covering defects in materials and workmanship. 6.2. The warranty does not cover damage from misuse, improper installation, unauthorized modifications, or environmental factors outside intended use. 6.3. Warranty claims must include proof of purchase and a description of the issue.
7. Limitation of Liability
7.1. To the maximum extent permitted by law, the Company is not liable for:
Indirect, incidental, or consequential damages
Loss of revenue, data, or business
Damage resulting from improper use or installation
7.2. Total liability is limited to the amount paid for the product giving rise to the claim.
8. Intellectual Property
8.1. All product designs, documentation, content, branding, and packaging remain the property of the Company. 8.2. Customers may not reproduce or distribute any proprietary material without written permission.
9. Compliance & Use Restrictions
9.1. Customers are responsible for ensuring that the purchase, installation, and use of products comply with local regulations. 9.2. Products may not be resold without written authorization (for distributors or wholesale partners).
10. Privacy & Data Use
10.1. Customer information is used solely for order processing, communication, and account management. 10.2. We do not sell or share personal information with third parties except service providers necessary to complete orders. 10.3. Please refer to our Privacy Policy for full details.
11. Governing Law
11.1. These Terms are governed by the laws of the state in which the Company operates. 11.2. Any legal disputes must be resolved in the courts of that jurisdiction.
12. Changes to Terms
12.1. The Company may update these Terms at any time. 12.2. Continued use of our website or products after changes constitutes acceptance of the revised Terms.
